Terms of Service

1. Who we are

These terms are issued by Eco-Quantum Wealth Ltd, a company registered in England and Wales (Company No. 15923322) with its registered office at 167-169 Great Portland Street, 5th Floor, London W1W 5PF, trading as EcoLedger ("EcoLedger", "we", "us", "our"). You can contact us at info@theecoledger.com.

2. What these terms cover, and what they do not

2.1 These terms govern your use of our website at theecoledger.com and its subdomains, the free tools we make available there, and any enquiry, demonstration or scoping discussion with us (together, the "Site").

2.2 These terms do not govern the licensed EcoLedger platform. Access to the platform is supplied under a separate written subscription licence agreement, together with the applicable order form and any statement of work (the "Subscription Agreement"). Where these terms conflict with the Subscription Agreement in relation to the platform or the services supplied under it, the Subscription Agreement prevails.

2.3 Our Privacy Policy is incorporated into these terms by reference.

2.4 By using the Site you accept these terms. If you do not accept them, do not use the Site.

3. Business use only

3.1 The Site, the free tools and the platform are provided for use by organisations and by individuals acting in the course of a business, trade or profession. They are not offered to consumers.

3.2 If you use the Site on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms, and "you" means that organisation.

4. No purchase is concluded through the Site

4.1 Information on the Site about the platform, modules, frameworks or services is an invitation to discuss, and does not constitute an offer capable of acceptance.

4.2 Licences are scoped in a working session and take effect only when an order form has been executed by both parties. Fees, subscription term, licensed modules, reporting entities in scope, renewal and payment terms are those recorded in the order form and the Subscription Agreement.

4.3 Refunds and cancellation are governed by the Subscription Agreement.

5. Free tools

5.1 We make certain tools available at no charge, including the Standards Tracker, the carbon calculator, the scope readiness check and the Monday 5 digest (the "Free Tools").

5.2 The Free Tools are provided for general information and for your internal business use only. They are provided on an "as is" and "as available" basis, without any warranty, and we may change, restrict or withdraw them at any time without notice.

5.3 Outputs from the Free Tools, including scope indications, regulatory summaries, key dates and estimated emissions figures, are indicative only. They are generated from source material and from the assumptions and inputs you provide, they are not verified against your particular circumstances, and they must not be relied upon as a statement of your legal or regulatory position.

5.4 You are responsible for the accuracy of the data you enter, and for checking any output against the underlying primary source material and against advice from your own advisers before acting on it.

6. No professional advice

6.1 Nothing on the Site, in the Free Tools or in the platform constitutes legal, accounting, audit, assurance, tax, actuarial or investment advice, and no adviser or client relationship arises between us by reason of your use of them.

6.2 Sustainability reporting requirements differ by jurisdiction, entity type and reporting period, and they change. Regulatory content we publish reflects our understanding as at the date of publication and may not be current, complete or applicable to you.

6.3 Responsibility for determining which requirements apply to your organisation, for the completeness and accuracy of your disclosures, and for obtaining independent professional advice, remains with you at all times.

7. Accounts and credentials

7.1 Where you are issued with credentials for the platform, a demonstration environment or a Free Tool, they are personal to the named user and must not be shared.

7.2 You must keep credentials confidential, and notify us at info@theecoledger.com without undue delay if you suspect they have been compromised.

7.3 You are responsible for activity carried out under your credentials, except where that activity results from our breach of these terms or of the Subscription Agreement.

8. Acceptable use

8.1 You must not:

  • use the Site or the Free Tools other than for your own internal business purposes;
  • resell, sublicense, republish or otherwise commercially exploit any part of the Site, the Free Tools or their outputs, or make them available to any third party as a service;
  • use any automated means, including scraping, crawling, harvesting or data mining, to extract content or data, or use any content or data to train, fine tune or evaluate a machine learning or artificial intelligence model, in each case without our prior written consent;
  • copy, adapt, reverse engineer, decompile or attempt to derive the source code, structure or underlying methodology of the Site, the Free Tools or the platform, except to the extent that such restriction is prohibited by law;
  • introduce malicious code, attempt to gain unauthorised access, probe or test the vulnerability of our systems, or interfere with their operation or availability;
  • misrepresent your identity or your authority to act for an organisation; or
  • use the Site or the Free Tools in breach of any applicable law or regulation.

8.2 We may suspend or withdraw access where we reasonably believe this clause has been breached.

9. Intellectual property

9.1 All intellectual property rights in the Site, the Free Tools, the platform, and in all content, software, data compilations, methodologies, emission factor sets, templates and materials made available through them, are owned by us or our licensors. Nothing in these terms transfers any of those rights to you.

9.2 Subject to your compliance with these terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Site and the Free Tools, and to retain outputs generated from your own inputs, for your internal business purposes.

9.3 Where content is reproduced from or links to primary source material issued by standard setters, regulators or other third parties, the rights in that material remain with its owner and its own terms of use apply.

9.4 You may not remove or obscure any copyright, trade mark or other proprietary notice.

10. Third party sites and sources

We link to third party websites, including regulators, standard setters and other primary sources. Those sites are not under our control. We are not responsible for their content, availability or accuracy, and a link does not imply endorsement.

11. Availability and changes

11.1 The Site and the Free Tools are provided without any commitment as to availability, and may be suspended, withdrawn or changed at any time. Service levels for the licensed platform, where they apply, are those set out in the Subscription Agreement.

11.2 We may amend these terms from time to time. The amended version takes effect when posted on the Site, and applies to your use of the Site from that point. Amendments to these terms do not vary the Subscription Agreement, which may be varied only as that agreement provides.

12. Warranties and disclaimers

12.1 We warrant that we will provide the Site and the Free Tools with reasonable care and skill.

12.2 Except as expressly stated in these terms or in the Subscription Agreement, and to the fullest extent permitted by law, all warranties, conditions and other terms implied by statute or common law are excluded, including any implied warranty of satisfactory quality, fitness for a particular purpose, accuracy, or that the Site, the Free Tools or their outputs will be uninterrupted, error free or will satisfy any regulatory requirement applicable to you.

13. Limitation of liability

13.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

13.2 Subject to clause 13.1, we are not liable to you, whether in contract, tort including negligence, breach of statutory duty or otherwise, for any:

  • loss of profit, revenue, business, contracts, anticipated savings or goodwill;
  • loss of, corruption of or inability to access data;
  • regulatory fine, penalty or censure, or the cost of restating, correcting or re-auditing a disclosure; or
  • indirect or consequential loss.

13.3 Subject to clause 13.1, our total aggregate liability arising out of or in connection with your use of the Site and the Free Tools is limited to £100.

13.4 Liability arising in connection with the licensed platform and the services supplied under the Subscription Agreement is governed exclusively by the limitation and exclusion provisions of that agreement, and clause 13.3 does not apply to it.

13.5 The limitations in this clause reflect the fact that the Free Tools are supplied without charge, that the outputs are indicative, and that responsibility for regulatory compliance rests with you.

14. Indemnity

You will indemnify us against all losses, liabilities, costs and expenses, including reasonable legal fees, arising from your breach of clause 8 (Acceptable use) or clause 9 (Intellectual property).

15. Confidentiality

Information exchanged in a scoping session, demonstration or proposal is provided in confidence and may be used only to evaluate a possible engagement. Where a separate non-disclosure agreement is in place, that agreement prevails.

16. Data protection

We process personal data as described in our Privacy Policy. Where we process personal data on behalf of a customer within the platform, we do so as processor under the data processing terms of the Subscription Agreement.

17. General

17.1 Entire agreement and precedence. These terms, the policies incorporated into them and, where applicable, the Subscription Agreement, constitute the entire agreement between us in relation to their subject matter and supersede any prior statement or representation. In the event of conflict, the order of precedence is: the order form, then the Subscription Agreement, then these terms, then the Privacy Policy in respect of personal data.

17.2 No third party rights. A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them.

17.3 Assignment. You may not assign or transfer your rights under these terms without our prior written consent. We may assign or transfer ours on notice to you.

17.4 Severance and waiver. If any provision is held to be invalid or unenforceable, the remainder continues in force. A failure or delay in enforcing a right is not a waiver of it.

17.5 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

17.6 Governing law and jurisdiction. These terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
